Terms of Service

These Terms of Service ("Terms") govern your use of the NobleStark website at noblestark.com and any related public-facing surfaces (the "Site"). Commercial engagements — datasets, benchmarks, evaluations, expert annotation, embedded expert pods, and related advisory work — are separately governed by the Master Services Agreement (MSA) executed between the parties and each applicable Statement of Work (SOW).

1. Acceptance

By accessing the Site you agree to these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, do not use the Site.

2. Use of the Site

You agree not to:

• Misuse the Site, attempt to bypass access controls, or interfere with operation;
• Scrape, harvest, or systematically extract content without our written consent;
• Infringe any third party's intellectual property, privacy, or contractual rights;
• Use the Site to upload malicious code or to probe NobleStark systems outside our published Vulnerability Disclosure process;
• Misrepresent your identity, affiliation, or authorization to act on behalf of any organization.

3. Commercial engagements

Datasets, evaluations, benchmarks, expert annotation, and embedded expert pods are provided solely under the executed MSA and applicable SOW. Where the MSA conflicts with these Terms with respect to a commercial engagement, the MSA controls.

Pricing is engagement-specific and is set in each SOW. The Site does not offer retail or self-service purchase of NobleStark deliverables.

4. Sales inquiries

Information submitted through sales-contact forms on the Site is handled per our Privacy Policy. Submitting an inquiry does not create a binding agreement; any engagement requires a signed MSA and SOW.

5. Hatch applicants and experts

Applications to the Hatch expert network and contractor relationships are governed by the separate Expert Privacy Notice and the contractor agreement signed at onboarding.

6. Intellectual property

All content on the Site is owned by NobleStark or its licensors and is provided for your information only. You may not reproduce, redistribute, or create derivative works from Site content without prior written consent, except as permitted by fair use or fair dealing.

7. Acceptable use

Use of NobleStark deliverables and services is also subject to our Acceptable Use Policy, which is incorporated by reference.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NOBLESTARK DISCLAIMS ALL WARRANTIES REGARDING THE SITE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Warranties for commercial Deliverables are set out in the MSA.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER NOBLESTARK NOR ITS PERSONNEL OR LICENSORS IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. THE AGGREGATE LIABILITY OF NOBLESTARK TO ANY VISITOR ARISING FROM USE OF THE SITE IS LIMITED TO US$100. LIABILITY FOR COMMERCIAL DELIVERABLES IS GOVERNED BY THE MSA.

10. Indemnification

You agree to indemnify and hold NobleStark harmless from any claims arising from your violation of these Terms or applicable law in connection with your use of the Site.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute relating to the Site will be resolved exclusively in the state or federal courts located in Delaware. Commercial disputes under the MSA are governed by the dispute-resolution provisions of the MSA.

12. Changes

We may update these Terms from time to time. Material changes are reflected in the legal change history.
